This Digital Image Licensing Agreement ("Agreement") is entered into by and between Dale Lalonde Photography, hereinafter referred to as the "Licensor," and the client or entity purchasing or receiving digital images, hereinafter referred to as the "Licensee."

 

1. Grant of License

 

Upon full payment, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the digital images provided for the specific purposes outlined in the invoice or agreement. Usage rights may include, but are not limited to:

• Personal Use: Display on personal websites, social media, or printing for personal enjoyment.

• Commercial Use (if specified): Use in marketing materials, websites, advertisements, or publications.

 

2. Restrictions

 

The Licensee may not:

​

• Resell, relicense, or redistribute the images in any form.

• Use the images in a defamatory, pornographic, or unlawful manner.

• Alter the images in a way that misrepresents the original work or the Licensor’s brand.

 

3. Copyright and Ownership

 

All images remain the sole and exclusive property of the Licensor. This license does not transfer copyright ownership. The Licensor retains the right to use the images for portfolio, marketing, and promotional purposes.

 

4. Duration and Termination

 

The license is valid for the duration specified in the agreement. Any breach of terms will result in immediate termination of the license without refund.

 

5. Credit and Attribution

 

When applicable, the Licensee agrees to credit the Licensor as follows:
